These Terms set the rules of engagement for using the Diwo website and the Diwo Decide and Diwo Catalyst products. Please read them carefully. If your organization has a signed agreement with us, that agreement governs; otherwise, these Terms apply.
Agreement to these terms
These Terms of Service (“Terms”) govern your access to and use of the website at diwo.ai, the Diwo Decide and Diwo Catalyst products, and any related services, applications, content, or documentation (collectively, the “Services”) provided by Diwo, LLC (“Diwo,” “we,” “our,” or “us”). By accessing or using the Services, you agree to be bound by these Terms.
If you are using the Services on behalf of an organization, you represent that you are authorized to bind that organization and its affiliates to these Terms. In that case, “you” refers both to you individually and to that organization.
Enterprise customers may access the Services under a separate written Master Services Agreement or Order Form. In the event of a conflict between these Terms and a signed agreement, the signed agreement controls with respect to the relevant customer.
Use of the Services
We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services in accordance with these Terms and any applicable order. You agree to use the Services only for lawful purposes and in a manner that does not infringe the rights of any other party or restrict or inhibit anyone else’s use of the Services.
Accounts and registration
Certain features of the Services require you to register an account. When you create an account, you agree to provide accurate, complete, and current information and to keep that information updated. You are responsible for safeguarding your credentials and for any activity that occurs under your account. You agree to notify us immediately if you suspect any unauthorized use of your account.
We may suspend or terminate accounts that we reasonably believe are inactive, fraudulent, in violation of these Terms, or pose a security risk to the Services or other users.
Customer data
Enterprise customers retain all rights to the data they submit to the Services (“Customer Data”). By submitting Customer Data, you grant Diwo a limited license to host, process, transmit, and display the data solely as necessary to provide the Services.
You are solely responsible for the Customer Data you provide, including its accuracy, completeness, quality, legality, and the rights you have to submit it. Diwo does not independently validate or certify Customer Data, and the Services’ outputs depend entirely on the data provided. If the underlying data is inaccurate, incomplete, stale, duplicated, or otherwise flawed, the outputs will reflect those flaws. You are responsible for ensuring that the data you connect to the Services meets the quality, governance, and regulatory requirements applicable to your business.
We do not use Customer Data to train third-party foundation models for the benefit of other customers, and we do not sell Customer Data.
AI outputs and your decisions
The Services use artificial intelligence and machine learning, including large language models, to generate outputs such as insights, summaries, narratives, recommendations, scores, rankings, forecasts, SQL, and visualizations (collectively, “AI Outputs”). AI Outputs are probabilistic and can be wrong. They may contain inaccuracies, hallucinations, missing context, outdated information, biases, or unexpected results, even when the underlying data is correct.
Diwo does not make decisions for you, and the Services do not take actions on your behalf unless you explicitly direct them to. Any decision made by you or your organization in reliance on an AI Output — including decisions that affect pricing, inventory, customers, employees, patients, counterparties, finances, legal matters, safety, or compliance — is your decision, made at your sole discretion and risk. You are responsible for reviewing, verifying, and validating each AI Output against authoritative sources, applicable policies, and human judgment before acting on it.
AI Outputs are provided for informational purposes only and do not constitute professional advice of any kind, including legal, financial, investment, tax, medical, or regulatory advice. You should not rely on AI Outputs as a substitute for advice from a qualified professional.
Diwo makes no representation or warranty that any AI Output is accurate, complete, current, non-infringing, free from bias, fit for a particular purpose, or suitable for any specific decision. To the fullest extent permitted by law, Diwo disclaims all liability for any decision, action, omission, loss, or damage arising from your use of, reliance on, or failure to review an AI Output, including any consequential, incidental, indirect, or business-impact damages. This section applies regardless of whether the AI Output was generated by Diwo’s own models, by a third-party model integrated into the Services, or through a combination.
For any high-impact decision — particularly one that materially affects individuals, involves legal obligations, or cannot be easily reversed — you agree to keep a qualified human in the loop, to exercise independent judgment, and to document the rationale for your decision outside of the Services.
Third-party AI and LLM providers
The Services rely on one or more third-party large language model providers and other AI infrastructure providers (collectively, “LLM Providers”), which may include providers such as OpenAI, Anthropic, Google, and others as configured by Diwo or by the customer. When you use features of the Services that invoke an LLM, the content of your prompts and relevant context — which may include excerpts of Customer Data, metadata, schema information, and prior messages — is transmitted to the applicable LLM Provider for processing.
Enterprise customers may configure their own LLM Provider credentials and model selection inside the Services. When a customer configures an LLM Provider, the customer’s use of that provider is governed by the customer’s direct agreement with that provider, including that provider’s terms, privacy policy, data processing addendum, and acceptable use policies. Diwo is not a party to that agreement and is not responsible for the LLM Provider’s practices, including how the provider processes, logs, retains, trains on, or disposes of the content sent to it. Customers are responsible for selecting LLM Providers and configurations appropriate to their data sensitivity, contractual obligations, regulatory regime, and risk tolerance.
LLM Providers are independent third parties. Their services may experience latency, outages, rate limits, capacity constraints, content filtering, model deprecations, model updates that change output characteristics, policy changes, regional restrictions, or pricing changes, any of which may affect the availability, performance, or behavior of the Services. Diwo is not responsible for delays, errors, unavailability, refusals, policy blocks, or changes in output quality caused by an LLM Provider.
Diwo makes no representation that a particular LLM Provider, model, model version, or feature will remain available or will continue to behave consistently. We may, at our discretion, change, remove, or substitute LLM Providers or models at any time to maintain the quality, security, or economics of the Services. Outputs generated by different models or different versions of the same model may differ meaningfully, and a change of model may change results for the same input.
Nothing you submit to an LLM through the Services should be treated as confidential by virtue of being processed by an AI system. You are responsible for ensuring that any sensitive information (including personal data, protected health information, cardholder data, trade secrets, privileged communications, or export-controlled information) is handled in accordance with your own obligations and the LLM Provider’s terms before submitting it to the Services.
Intellectual property
The Services, including all software, content, trademarks, logos, designs, and documentation, are owned by Diwo or its licensors and are protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Services other than the limited right to use them in accordance with these Terms.
You may not copy, modify, reverse engineer, decompile, disassemble, create derivative works from, or attempt to derive the source code of any component of the Services, except to the extent such restrictions are prohibited by applicable law.
Feedback
If you provide feedback, suggestions, or ideas regarding the Services, you grant Diwo a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate that feedback into the Services without any obligation to you.
Prohibited uses
You agree not to:
- Use the Services to violate any applicable law, regulation, or contractual obligation;
- Upload or transmit any malicious code, viruses, worms, or other harmful components;
- Attempt to gain unauthorized access to the Services or any related systems or networks;
- Interfere with or disrupt the integrity or performance of the Services, including by overloading, flooding, or sending probe traffic not authorized by us;
- Reverse engineer, scrape, or extract data from the Services in an automated or systematic manner without our prior written consent;
- Use the Services to build a competing product, benchmark performance for public disclosure, or train a competing AI model;
- Use the Services to make automated, consequential decisions that materially affect individuals without appropriate human oversight required by applicable law;
- Misrepresent your identity, impersonate another person, or submit Customer Data you do not have the right to submit.
Third-party services and content
The Services may integrate with or link to third-party products, websites, or content that are not owned or controlled by Diwo. We do not endorse or assume responsibility for third-party services. Your use of any third-party service is subject to the terms and privacy practices of that third party.
Fees, subscriptions, and taxes
Certain Services are provided under a paid subscription described in an Order Form. Fees are invoiced in advance and are non-refundable except as expressly stated in the applicable agreement. You are responsible for all applicable taxes, duties, and similar assessments associated with your use of the Services, excluding taxes based on Diwo’s net income.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. DIWO DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
WITHOUT LIMITING THE FOREGOING, DIWO MAKES NO WARRANTY AND ACCEPTS NO RESPONSIBILITY FOR (A) THE ACCURACY, COMPLETENESS, RELIABILITY, CURRENCY, OR FITNESS OF ANY AI OUTPUT, INSIGHT, RECOMMENDATION, FORECAST, OR DECISION-SUPPORT ARTIFACT; (B) THE ACCURACY, COMPLETENESS, OR QUALITY OF ANY CUSTOMER DATA OR THIRD-PARTY DATA PROCESSED BY THE SERVICES; (C) ANY DECISION OR ACTION TAKEN IN RELIANCE ON AN AI OUTPUT OR ON THE SERVICES GENERALLY; OR (D) THE AVAILABILITY, PERFORMANCE, OUTPUT QUALITY, OR POLICY BEHAVIOR OF ANY LLM PROVIDER OR OTHER THIRD-PARTY SERVICE ON WHICH THE SERVICES DEPEND. AI OUTPUTS AND ANY RELATED CONTENT DO NOT CONSTITUTE PROFESSIONAL ADVICE OF ANY KIND AND ARE NOT A SUBSTITUTE FOR INDEPENDENT VERIFICATION OR PROFESSIONAL JUDGMENT.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL DIWO OR ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, WHETHER BASED IN CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF DIWO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
DIWO’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO DIWO FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS.
Indemnification
You agree to indemnify, defend, and hold harmless Diwo and its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Services, (b) your violation of these Terms, or (c) your violation of any law or rights of a third party.
Termination
We may suspend or terminate your access to the Services at any time, with or without cause, including for violation of these Terms. Upon termination, your right to use the Services ends immediately. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitations of liability, indemnification, and governing law) will survive.
Governing law and dispute resolution
These Terms are governed by the laws of the State of Michigan, without regard to its conflict of law principles. The exclusive venue for any dispute arising out of or related to these Terms or the Services will be the state or federal courts located in Wayne County, Michigan, and each party consents to personal jurisdiction there.
Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will revise the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Services after the changes take effect constitutes acceptance of the revised Terms.
